If the liabilities aren't transferred. Why Eric minds customer making chargeback? Since he and the new entity has no liability to fulfill the existing contract and he has no access to the existing merchant account (except the fact that he could charge the saved cards).

Well, I still understand the thought process; "buy" an existing provider, get their stuff except for the customers who have already paid but with the customer information, try to get those people stick around so you can get a customer base. But there is where it goes wrong: you cannot cherry pick and try to keep the customers without honoring the obligations the previous company made. And he's not doing that by asking money again. Also, with all the changes made (migrations, adding hardware, etc) it still doesn't make sense why you would buy you into the market the market with something like "VeloxMedia" when you then not gonna use much of it. But hey, there may be a reason I'm not in business...

Well what I've seen him acting out that's more or less what's he's trying. But at the same time he is more or less "upset" by people doing chargebacks ("it's illegal to maintain the service when someone did a chargeback") which contradicts the "we don't have them as customers".
Beside the thing that you can't just say "I want their data, I'm giving them a service, but I don't respect the obligations the previous owner had with them"
