Lewis sold the ‘business’ without securing provision of services to his customers for the remainder of their contracts (or refunding them). Clearly a scam - and he’s responsible for that.
Don't forget he intend to let lewis's customer rent free, got ridiculed by colleagues.
It would have been nice if he just refund the customer, then let customer signed a new contract for the prescribed amount plus a small fee (for refund, or change to annual/semi-annual). That way, everyone could be happy

They'll ignore it. It has no weight to it, and "nothing" the "fullest extent permitted under applicable law". It's a very tricky phrase that seems to imply they have more power than they have.

How it possible to guarantee clients that new owner didn't close their accounts? I suppose it could be part of selling contract, but we don't know is the deal paper didn't include it. As I understand the legal wasn't the powerful side of Lewis.
I know, maybe I sounds like lawyer of evil, but I know the man, who's behavior is 1 on 1 like Lewis, and he is really good guy, he not a scammer and in the end all the time he pays. I working with him more than 5 years, already.
Second my argument is the BF deals was less than 1 month ago of the company sold, when charge back window is 90 days, you could get your money back in this or next month. Yes it takes a time, but you have a big chance to get your money back. Actually many clients already do that and get their money back. That's not how scam works. Only clients whose buy it on "the August deals party has got scammed", could you say, but they got a good service for last 4-5 months and after my bank charge back rules reading, I have not 0 chance to get my money back, because if I was pay for the loong-term service, the rule of 90 days could be excepted, but it up to bank decision.
About "unsustainable" deals, wery often provider could buy a used server as is, with one cpu 40 cores and 700+ gb of ram, and in this case you have a lot of ram, but cpu is very limited, you could oversold cpu, like DeluxeHost, or you could sell only 3 core with lots of ram. I saw listings of selling hardware like this and if Lewis pays only for colocation of the hardware I believe the numbers could be be sustained and it could be a good case for makes your brand recognizable.
Second possible case is sometimes companies buys hardware for the project and the project is closing by some reasons and they're have two ways sell the hardware as used or make a hoster and try to sell it.
This is only my opinion, nothing else. In the reality we have what we have.

Yes that’s exactly how you guarantee it. You structure the deal so that if customers stay with Lewis, there is a contract with the buyer as part of the sale to provision services for the remaining duration of their contracts.
Alternatively, you agree that customers should be ported over to the buyer as part of the sale.
What you don’t do, is allow contracts to be with one party but without an agreement for services to be provisioned. That’s what it sounds like they did.
Lewis might be a nice guy, but he should have known better, and should refund everyone. Not doing so constitutes being a scammer
