TLDR: DS is claiming that Path was not actually entitled to their buyouts because they were not up to date with payments and were defaulting at the time of them requesting a buyout.
It'll be interesting to see how Path actually reply to this one because they are looking genuinely fucked.
My understanding, they basically agree with many Path's claims (except when they had "bad behavior", they deny that) but the main thing is that they disagree that Path had the right to purchase the hardware because they were already in default. And the one time DataSales agreed to it, Path didn't send the wire. Lazy summary.
And that this was all done in bad faith by Path... To the extent Path seeks equitable relief, the doctrine of unclean hands precludes Path from obtaining the equitable relief sought.
