Scenario
1) Have 3 Dedicated Servers(32 GB RAM Each).
2) Need to Setup 50 Cloud VPS On them.
3) Should Be Scalable(Being able to resize your server)
4) Down time should be zero even if one of host server down.

Why 3, seems like a waste. 1 hot spare server is enough.

They Just Need to make a cloud on that.
OnApp is one way and would actually be free in your case.
Unless he wishes to go for 2 + 1 hot spare.
In this case, you can set up a proxmox cluster (http://pve.proxmox.com/wiki/High_Availability_Cluster) , either SAN based or using DRDB for distributed block storage (http://pve.proxmox.com/wiki/DRBD)
Or use the free OnApp version
What Virtualization It Uses ?.
XEN on the free version, KVM, XEN or VMWARE on paid

I spoke to OnApp awhile back and they said you can get KVM on the free version as well. Check this though.

You sure went from "can I get a high-end dedi for $20/month" to "I'm going to compete with Amazon" in a hurry...

Are you using centralized storage? Or a distributed SAN?
Your going to need some sort of SAN for this to work at all.
VMware HA works pretty well, licensing will be killer though of course. As said above, you would need shared storage, but you can create a low cost solution for that as well.
Downtime isn't exactly 0 if a host goes down though, probably up to 5 minutes as it is resumed on a different host.
